software (the "System") and the related services offered by the System to query and search various third
party scientific databases for data and to view the results of your searches and queries (collectively, the
"Services"). You may only use the System and the Services if you have obtained a valid license
from us (LION bioscience AG) or our authorized distributor LION bioscience Inc.
YOUR USE OF THE SYSTEM AND THE SERVICES IS SUBJECT TO THE TERMS AND CONDITIONS
OF YOUR LICENSE. IF YOU DO NOT HAVE A VALID LICENSE OR EXCEED THE SCOPE OF YOUR
LICENSE, YOU MAY NOT ACCESS OR USE THE SYSTEM AND SERVICES.

Internet Use from Authorized Academic or Not-For-Profit Web Sites:
We have authorized some academic or not-for-profit organizations to enable the use of our System and
our Services from their respective Internet web sites (each, a "Site") for personal academic and non-
commercial research uses and purposes only. If you are accessing or using our System and
Services from such an authorized Site on the Internet, you agree that the following binding legal terms set
forth below ("Terms of Use") apply to and govern your access and use:

and we are pleased to give you access to the System and the Services from this authorized Site free of
charge, provided however that we make the System and Services available to you only on this
authorized Site and only for your personal academic and non-commercial research uses and
purposes. ANY COMMERCIAL, FOR-PROFIT AND NON-ACADEMIC USE OF THE SYSTEM AND
THE SERVICES IS STRICTLY PROHIBITED. You agree not to download the System or its software
components, from the Site. You agree not to modify, port, translate, transform, localize, or create
derivative works of the System, or any portion thereof. You agree not to decompile, disassemble, reverse
engineer or assemble the System, or any portion thereof, or attempt to reconstruct, identify or discover
any source code, the structure, sequence or organization of source code, underlying ideas, underlying
user interface techniques, or algorithms, of the System or any portion thereof. You agree not to sell,
lease, license, sublicense, copy, reproduce, market or distribute the System or any portion thereof. You
agree not to remove any product identification, trademark, copyright or other notices that are part of the
System or the Site. You agree not to modify, reformat, display, distribute, transmit, publish, license,
create derivative works of, transfer or sell any information, data, databases, products or services obtained
from or through the System or the Services, except as set forth in these Terms of Use.
Except for allowing you to use the System and the Services from this Site for your personal academic and
non-commercial research uses as set forth above, when you use the System and the Services, you are
not receiving a license or any other rights from us, including any intellectual property or other proprietary
rights of LION bioscience AG or other companies with which we are affiliated. YOU UNDERSTAND
THAT YOU HAVE NO RIGHTS TO THE SYSTEM OR THE SERVICES OR ANY OTHER LION
BIOSCIENCE AG PROPERTY EXCEPT AS ARE SET FORTH IN THESE TERMS
The System and Services, including without limitation the on-line manual and help information, are
protected by U.S., European and international copyright, patent, trademarks laws and other intellectual

We can terminate your access to the System, the Services and/or this Site, at any time without prior
notice and for any reason, including if you violate any of these Terms of Use. This right is in addition to
any other rights or remedies we may have under applicable law and equity.
We can also change these Terms of Use at any time, without notice, and your continued use of the
Services after any change we make will mean that you agreed with the changes. IN THE EVENT THAT
YOU DO NOT AGREE TO ANY CHANGE, PLEASE DO NOT ACCESS OR USE THE SYSTEM OR
THE SERVICES IN ANY MANNER FOR ANY PURPOSE.
We may monitor your use of the Site, the System and the Services and we may log or record your identity
as well as your uses of the Site, the System and the Services, including in particular the queries or
searches you perform using the System and the Services and the results of these queries or searches.
You understand that you have no proprietary or ownership rights to these queries or searches or the
results of these queries or searches and that we do not assure or guarantee the confidentiality of your
searches or queries or the results of these searches or queries using the System or the Services. We
may duplicate or use your queries or searches and the results of your queries or searches in our
discretion, including for any commercial gain or purposes.
Should you provide us with feedback with respect to the System or the Services, the content of this
feedback, whether in the form of questions, comments, suggestions or otherwise, will be deemed to be
non-confidential. We shall have no obligation of any kind with respect to this information, and will be free
to use any information, ideas, concepts, know-how, or techniques contained in this information for any
purpose whatsoever and to reproduce, use, disclose, and distribute this information to third parties
without limitation.
If a governmental agency (for example, the law enforcement agencies or similar governmental agencies)
sends us a subpoena to disclose users or uses of the Site, the System or the Services, we will comply
with it. If we receive a subpoena by a third party that is not a governmental agency (for example, a
subpoena in connection with civil litigation), we will comply with it as well, however, we may (but are not
required to) notify the user whose identity is requested, before complying with the subpoena.
WE (LION BIOSCIENCE AG) DO NOT WARRANT OR ASSUME ANY LEGAL LIABILITY OR
RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY
DATABASES, DATA, INFORMATION OR TOOLS AVAILABLE BY USING THE SYSTEM OR THE
SERVICES. THE DATABASES, DATA AND INFORMATION ACCESSED THROUGH THE SYSTEM
AND THE SERVICES CHANGE CONSTANTLY AND NO SEARCHING OR INDEXING TECHNIQUES
CAN POSSIBLY INCLUDE ALL DATA AND DATABASES THAT MAY BE ACCESSIBLE THROUGH THE
SYSTEM AND THE SERVICES. AS A RESULT, LION BIOSCIENCE AG DOES NOT AND CANNOT
GUARANTEE THAT YOUR SEARCH RESULTS WILL BE COMPLETE OR ACCURATE OR THAT THE
LINKS ASSOCIATED WITH THE INDEXED DATAPOINTS WILL BE COMPLETE OR ACCURATE OR
ACTIVE AT THE TIME OF YOUR SEARCH. THE INFORMATION, DATA AND DATABASES
ACCESSED THROUGH THE SYSTEM ARE DEVELEOPED AND MAINTAINED BY PEOPLE WE DO

SYSTEM AND THE SERVICES. YOUR ACCESS AND USE OF THIRD PARTY DATABASES AND
DATA, WHETHER FROM OR THROUGH THE SYSTEM OR SERVICES OR OTHERWISE, MAY BE
SUBJECT TO THE SPECIFIC TERMS AND CONDITIONS OF EACH SUCH DATABASE AS SPECIFIED
BY THE OWNER OR OPERATOR OF EACH DATABASE. YOU UNDERSTAND AND AGREE THAT
YOUR ACCESS AND USE OF THESE THIRD PARTY DATABASES USING THE SYSTEM AND THE
SERVICES IS AT YOU OWN RISK. YOU AGREE TO OBTAIN ANY AUTHORIZATIONS OR LICENSES
TO ACCESS, SEARCH AND USE EACH OF THESE THIRD PARTY DATABASES FROM THEIR
RESPECTIVE OWNERS OR OPERATORS. IN THE EVENT OF ANY CLAIMS OR CAUSES OF
ACTIONS ASSERTED AGAINST US (LION BIOSCIENCE AG) OR ANY JUDGMENTS OR LIABILITY
AGAINST US ARISING FROM YOUR USE OF ANY THIRD PARTY DATABASE, YOU AGREE TO
INDEMNIFY US FOR ALL EXPENSES (INCLUDING REASONABLE ATTORNEY FEES), DAMAGES,
PENALTIES AND OTHER PAYMENTS INCURRED BY US AND RELATED TO THESE CLAIMS,
CAUSES OF ACTION, JUDGMENTS OR LIABILITY.
YOU UNDERSTAND THAT YOUR USE OF THE SYSTEM AND THE SERVICES (INCLUDING ANY
ANY LOSS OF DATA OR OTHER DAMAGE TO YOUR COMPUTER SYSTEM YOU EXPERIENCE
FROM USING THE SYSTEM OR THE SERVICES) IS AT YOUR SOLE RISK. YOU UNDERSTAND
THAT THE SYSTEM AND THE SERVICES AND ALL INFORMATION, DATA, DATABASES,
PRODUCTS AND OTHER CONTENT (INCLUDING THIRD PARTY INFORMATION, PRODUCTS AND
CONTENT) INCLUDED IN OR ACCESSIBLE FROM THE SYSTEM AND THE SERVICES, ARE
PROVIDED ON AN "AS IS" "WHERE-IS" AND "WHERE AVAILABLE" BASIS, AND ARE SUBJECT TO
CHANGE AT ANY TIME WITHOUT NOTICE TO YOU. YOU ACKNOWLEDGE THAT LION BIOSCIENCE
AG MAKES NO WARRANTY THAT THE SYSTEM AND SERVICES WILL BE UNINTERRUPTED,
TIMELY, SECURE OR ERROR-FREE. YOU UNDERSTAND THAT LION BIOSCIENCE AG DOES NOT
WARRANT THAT THE RESULTS OBTAINED FROM YOUR USE OF THE SYSTEM AND SERVICES,
INCLUDING THE RESULTS OF ANY SEARCHES OR QUERIES, WILL MEET YOUR EXPECTATIONS.
LION BIOSCIENCE AG DOES NOT WARRANT THE UNINTERRUPTED ACCESS TO THE SITE OR
AVAILABILITY OF THE SYSTEM OR THE SERVICES. THE SITE, THE SYSTEM OR THE SERVICES
MAY BE UNAVAILABLE DUE TO MAINTENANCE, UPGRADE PROCEDURES, OR ANY OTHER
REASON. NO WARRANTY OF ANY KIND, WHETHER ORAL OR WRITTEN, CAN MODIFY THE
TERMS OF THE DISCLAIMER SET FORTH IN THIS DOCUMENT.
TO THE FULLEST EXTENT PERMITTED BY LAW, LION BIOSCIENCE DISCLAIMS ALL
REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND (EXPRESS, IMPLIED,
STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, DURABILITY AND FITNESS FOR A PARTICULAR PURPOSE, QUALITY,
SATISFACTORY QUALITY, TITLE AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS),
INCLUDING WITHOUT LIMITATION, IN REFERENCE TO THE SYSTEM AND THE SERVICES, AND
ALL DATABASESM DATA, INFORMATION, PRODUCTS AND OTHER CONTENT (INCLUDING THIRD
PARTY INFORMATION, DATABASES, DATA, PRODUCTS AND CONTENT) INCLUDED IN OR
ACCESSIBLE FROM THE SITE, THE SYSTEM OR THE SERVICES.
LION BIOSCIENCE AG EXPRESSLY DISCLAIMS ANY ENDORSEMENT. RECCOMMENDATION,
GUARANTEE, REPRESENTATION, WARRANTY OR CONDITION (WHETHER EXPRESS, IMPLIED,
STATUTORY OR OTHERWISE) IN RESPECT OF, OR RESPONSIBILITY FOR ANY ACTION OR
INACTION OF ANY PARTY, INCLUDING WITHOUT LIMITATION ANY ADVERTISERS, PARTNERS,
PARTICIPATING MERCHANTS, MANUFACTURERS OR SUPPLIERS OR ANY PRODUCTS OR
SERVICES SUPPLIED BY SUCH PARTIES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LION
BIOSCIENCE AG, ITS PARENT OR SUBSIDIARIES, ANY OF THE COMPANIES IT IS AFFILIATED
WITH, OR ANY OF DATABASE, DATA OR CONTENT PROVIDERS BE LIABLE TO YOU (OR ANY
THIRD PARTY MAKING CLAIMS THROUGH YOU) FOR ANY LOSS OR DAMAGES WHATSOEVER,
INCLUDING BUT NOT LIMITED TO ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE
OR INCIDENTAL DAMAGES, OR DAMAGES FOR LOSS OF USE, PROFITS, DATA OR OTHER
INTANGIBLES, OR THE COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES,
UNAUTHORIZED ACCESS TO AND TAMPERING WITH YOUR PERSONAL INFORMATION OR
TRANSMISSIONS, ARISING OUT OF OR RELATED TO THE USE, INABILITY TO USE,
UNAUTHORIZED USE, PERFORMANCE OR NON-PERFORMANCE OF THE SITE, THE SYSTEM OR
THE SERVICES, ANY COMPUTER-RELATED DAMAGES DUE TO DOWNLOADING MATERIALS,
TYPOGRAPHICAL ERRORS AND/OR OMISSIONS. SOME STATES DO NOT ALLOW THE
LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTIAL OR CONSEQUENTIAL DAMAGES;
THEREFORE THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
THE LIMITATIONS OF LIABILITY AND DISCLAIMERS HEREIN SHALL APPLY REGARDLESS OF THE
FORM OF ACTION, WHETHER IN CONTRACT, WARRANTY, STRICT LIABILITY, NEGLIGENCE, OR
OTHER TORT, AND SHALL SURVIVE A FUNDAMENTAL BREACH OR BREACHES OF CONTRACT

REMEDY. LION bioscience AG is not responsible for any intellectual property infringement made by you
or any other party. In no event shall LION bioscience AG's liability, either jointly or severally, exceed $50.
In order to access the Site and the System, you will need to establish an account with an Internet service
provider. You will also need equipment to access the Site, including a computer, modem or other
communication device. You agree to pay for all hardware and services costs needed to access the Site
and use the Services. LION bioscience AG is not responsible for any of these costs.
This contract shall be governed by and construed in accordance with the laws of the State of
Massachusetts without regard to conflict of laws principles. These Terms of Use as amended from time to
time, set forth the entire understanding between you and LION bioscience AG and supersede any and all
prior or contemporaneous agreements or understandings between you and LION bioscience AG, whether
oral or written, as to the subject matter of these Terms of Use. If any provision of these Terms or the
application thereof to any person or circumstances shall to any extent be held to be invalid or
unenforceable, the remainder of these Terms, or the application of such provisions to persons or
circumstances as to which it is not held to be invalid or unenforceable, shall not be affected thereby, and
each provision shall be valid and be enforced to the fullest extent permitted by law. Although you
acknowledge that we will have the ability to enforce our rights in any court of competent jurisdiction, you
hereby consent to the exclusive jurisdiction and venue of courts in Cambridge, Massachusetts, U.S.A.,
regarding any and all disputes relating to these Terms, your use of the System or the Services. No waiver
of these Terms will be valid, except in the event that the waiver is in writing and signed by a corporate
officer of LION bioscience AG. If the performance by LION bioscience AG of the Terms of Use or any
obligation thereunder is prevented, restricted or interfered with by any act or condition whatsoever beyond
the reasonable control of LION bioscience AG, you shall excuse, without further action or notice, LION
bioscience AG's performance to the extent of such prevention, restriction or interference.
